These Terms of Service ("Terms") govern your access to and use of yoursay.me (the "Site") and the services provided by YourSay (the "Services"). By accessing the Site, submitting a form, booking a meeting, or otherwise using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
YourSay is a district-wide content and online visibility platform built for K-12 school districts, operated by Maddox Legal, located in San Antonio, Texas. Throughout these Terms, "YourSay," "we," "our," and "us" refer to YourSay.
You must be at least 18 years old and authorized to act on behalf of your district or organization to use the Services. By using the Services you represent and warrant that you meet these requirements.
YourSay provides content production, social media management, online visibility tooling, reporting, and related professional services to school districts. The specific Services offered to your district will be described in a written engagement, statement of work, or service order ("Order"). These Terms apply alongside any Order. Where these Terms and an Order conflict, the Order controls.
From time to time YourSay offers a complimentary strategy call and a complimentary first month of Services to qualified districts. Eligibility, scope, and start date for the free first month will be confirmed in writing during onboarding. The free first month is not transferable, has no cash value, and may be revoked at our discretion if eligibility requirements are not met.
Recurring Services are billed monthly in advance, unless otherwise specified in an Order. Setup or one-time fees are billed as described in the applicable Order. Payment terms, accepted payment methods, and any taxes are described in the Order. Past-due amounts may accrue interest at the lesser of 1.5% per month or the maximum permitted by law.
Recurring Services may be cancelled with thirty (30) days' written notice unless a different notice period is specified in an Order. Fees paid for the current billing period are non-refundable except where required by law. The free first month may be cancelled by either party at any time during that month.
You may revoke your consent at any time by emailing privacy@yoursay.me or by replying STOP to any SMS.
The Services, including the Site, software, methodologies, templates, and documentation, are owned by YourSay or its licensors and are protected by intellectual property laws. Subject to your compliance with these Terms, you receive a limited, non-exclusive, non-transferable license to access and use the Services for your district's internal business purposes.
You retain ownership of the content and data you provide to us. You grant YourSay a limited license to use that content and data solely to deliver the Services and, on an anonymized and aggregated basis, to improve the Services.
Each party agrees to keep the other party's non-public business and operational information confidential and to use it only for purposes of performing under these Terms. This obligation survives termination.
The Services may rely on or integrate with third-party providers (for example, scheduling, CRM, voice, SMS, ad platforms, and analytics). Your use of third-party services is also subject to the terms and privacy policies of those providers. YourSay is not responsible for third-party services.
To the maximum extent permitted by law, YourSay and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, or business opportunities, arising out of or related to the Services. YourSay's total aggregate liability for any claim arising out of or related to the Services will not exceed the amounts paid by you to YourSay for the Services in the three (3) months preceding the event giving rise to the claim.
You will defend, indemnify, and hold harmless YourSay and its affiliates from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your content and data, (b) your use of the Services in violation of these Terms or applicable law, or (c) your breach of any representation or warranty in these Terms.
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if you breach these Terms or fail to pay amounts owed. Sections that by their nature should survive termination will survive, including Sections 9 through 18.
These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles. The exclusive venue for any dispute arising out of or related to these Terms or the Services is the state or federal courts located in Bexar County, Texas, and you consent to the personal jurisdiction of those courts.
Before filing a claim, the parties agree to first try to resolve the dispute informally by contacting legal@yoursay.me. If the dispute is not resolved within thirty (30) days, either party may pursue available legal remedies, subject to Section 16.
We may update these Terms from time to time. The "Effective date" at the top reflects the latest version. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
